1. RawUGC Service Overview

RawUGC is a platform focused on generating authentic user-generated content (UGC) videos and images using artificial intelligence. As part of the Service, RawUGC uses AI tools to generate UGC videos and static images for users based on product photos and brand messaging they provide. Users receive various video formats and styles suitable for commercial use in advertising, social media, and marketing campaigns.

2. Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 18 years old; (b) you have not previously been suspended or removed from the Service; and (c) your registration and your use of the Service is in compliance with any and all applicable laws and regulations.

If you are an entity, organization, or company, the individual accepting these Terms on your behalf represents and warrants that they have authority to bind you to these Terms and you agree to be bound by these Terms.

3. Accounts and Registration

To access the Service, you must create an account. When you create an account, you agree to provide accurate, current, and complete information. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account. We are not liable for any losses caused by any unauthorized use of your account.

4. Payment Terms

4.1. Pricing

Certain features of the Service may require you to pay fees. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. Unless otherwise specifically provided for in these Terms, all fees are in U.S. Dollars.

RawUGC reserves the right to determine pricing for the Service. RawUGC will make reasonable efforts to keep pricing information published on the Service up to date. We encourage you to check our pricing page periodically for current pricing information. RawUGC may change the fees for any feature of the Service, including additional fees or charges, if RawUGC gives you advance notice of changes before they apply.

4.2. Authorization

You authorize RawUGC to charge all sums for the orders that you make and any level of Service you select as described in these Terms or published by RawUGC, including all applicable taxes, to the payment method specified in your account.

4.3. Refunds

All fees are non-refundable, except as required by law or as explicitly stated in our refund policy. For one-time purchases, refunds may be available within 14 days of purchase if you have not downloaded or used the generated content, subject to our discretion.

For subscription services, you may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period, and you will continue to have access until then. No refunds will be provided for the current billing period.

5. Licenses and Ownership

5.1. Limited License to Use Service

Subject to your complete and ongoing compliance with these Terms, RawUGC grants you, for both your personal and commercial use, a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service.

5.2. Ownership of Generated Content

Subject to your compliance with these Terms, RawUGC assigns to you all of its right, title, and interest (if any) in and to the videos and images generated from your uploaded content. However, the AI tools may produce similar outputs for other users, and our assignment does not apply to outputs generated for others.

Commercial Rights: All generated content includes global, perpetual, transferable, and sublicensable commercial rights. You may use the generated content for any commercial purpose, including but not limited to paid advertising, social media marketing, website content, and email campaigns. You may also resell or sublicense the generated content.

No Model Training: Your uploaded product images and generated content will not be used to train or retrain our generative models or third-party models. We process your content solely to provide the Service (including generating, delivering, and storing at your direction), maintain, protect, and secure the Service, and comply with applicable law and enforce these Terms.

5.3. Your Content

You retain ownership of any content you upload to the Service, including product photos and brand messaging. By uploading content, you grant RawUGC a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely for the purpose of providing the Service to you.

You represent and warrant that you have all necessary rights, licenses, and permissions to upload and use any content you provide to the Service, and that such content does not infringe upon any third-party rights.

6. Prohibited Conduct

BY USING THE SERVICE, YOU AGREE NOT TO:

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law
• Upload content that infringes upon any third-party intellectual property rights, including copyrights, trademarks, or patents
• Upload content that is offensive, defamatory, harassing, or otherwise objectionable
• Attempt to reverse engineer, decompile, or disassemble the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service to generate content that violates any applicable laws or regulations
• Attempt to gain unauthorized access to any portion of the Service
• Use automated systems (bots, scrapers, etc.) to access the Service without permission

7. AI-Generated Content Disclaimer

RawUGC uses artificial intelligence and machine learning to provide the Service. You acknowledge and agree that:

• The technology used by RawUGC is experimental, rapidly evolving, and subject to unexpected outputs and results
• Generated content may contain errors, omissions, or not accurately reflect real events, places, people, or facts
• RawUGC does not guarantee the accuracy, completeness, or quality of any generated content
• You are solely responsible for reviewing and verifying any generated content before use
• You rely upon the generated content at your sole risk

8. Intellectual Property Rights Protection

RawUGC respects the intellectual property rights of others. If you believe that any content made available on or through the Service has been used or exploited in a manner that infringes an intellectual property right you own or control, please contact us at admin@blurware.com with a detailed description of the alleged infringement.

9. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or through your account settings. Following termination, you will have 30 days to download any generated content from your account before it is permanently deleted.

10. Disclaimers and Limitation of Liability

THE SERVICE AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS. RAWUGC DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL RAWUGC BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

IN NO EVENT WILL RAWUGC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO RAWUGC FOR ACCESS TO AND USE OF THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT OR CIRCUMSTANCE GIVING RISE TO THE CLAIM.

11. Changes to Terms

We may, from time to time, change these Terms. Please check these Terms periodically for changes. Revisions will be effective immediately except that, for existing users, material revisions will be effective 30 days after posting or notice to you of the revisions unless otherwise stated.

If you do not agree to the modified Terms, then you should remove your content and discontinue your use of the Service.

12. Governing Law

These Terms are governed by the laws of the United States without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules.
